Acceptance of Terms

By registering for, accessing, or using the Cafe Buddy Cafe Management System ("the Platform," "the Service"), you ("User," "Subscriber," "you") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws of the Republic of the Philippines.

If you do not agree to these Terms, you must not create an account or use the Platform. By clicking "Create Account" or signing in, you confirm that you have read, understood, and agreed to these Terms.

These Terms constitute a legally binding agreement between you and Cafe Buddy ("we," "us," "our," "the Company"), a business operating under the laws of the Republic of the Philippines.

Eligibility

To use Cafe Buddy, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction.
  • Be a legitimate business owner or authorized representative of a registered or operating food and beverage business in the Philippines.
  • Provide accurate, complete, and truthful information during registration.
  • Not be prohibited by any Philippine law or regulation from entering into this agreement.

We reserve the right to reject or revoke any account registration at our sole discretion, especially if the information provided is found to be false, misleading, or incomplete.

Account Registration and Approval

3.1 Registration Process

Creating an account requires you to submit personal information (name, email, mobile number, birthday) and business information (business name, address, social media links). All submissions are subject to review.

3.2 Admin Approval

All new accounts are subject to manual review and approval by the Cafe Buddy administrative team before access is granted. Account activation is not automatic. We reserve the right to approve or reject any application without providing a reason.

3.3 Account Accuracy

You are responsible for ensuring all information in your account is current and accurate. Providing false information is grounds for immediate account suspension or termination without refund.

3.4 Account Security

You are responsible for maintaining the confidentiality of your username, password, and OTP codes. You must not share your login credentials with unauthorized persons. Notify us immediately at support@cafebuddy.ph if you suspect unauthorized access.

3.5 One Account Per Business

Each business may only maintain one active Cafe Buddy account unless explicitly authorized otherwise.

Subscription and Payment

4.1 Subscription Fee

Access to Cafe Buddy is provided on a monthly subscription basis at the rate of ₱149.00 per month (Philippine Pesos, VAT inclusive where applicable). This rate is subject to change with at least 30 days' prior written notice to the Subscriber.

4.2 Billing Cycle

Invoices are generated on the 27th of each calendar month. The payment due date is 3 calendar days after the billing date (i.e., the 30th of the same month, or the next business day if it falls on a weekend or holiday).

4.3 Payment Method

Payment shall be made via bank transfer or electronic payment method as communicated by Cafe Buddy. Upon payment, the Subscriber must send proof of payment together with the Invoice Number to billing@cafebuddy.ph for verification and confirmation.

4.4 Late Payment

Failure to settle the invoice by the due date may result in the temporary suspension of account access. All data is preserved during suspension. Access is restored within 24 hours of confirmed payment.

⚠️ No Refunds Policy: All subscription payments are non-refundable. This includes partial months, unused periods following account suspension, or cases where access was suspended due to a Terms violation by the Subscriber.

4.5 Price Changes

We reserve the right to adjust subscription pricing. Any price changes will take effect in the next billing cycle following the required notice period.

Use of the Platform

5.1 Permitted Use

You may use Cafe Buddy solely for your own legitimate cafe or food and beverage business management operations, in accordance with these Terms and applicable Philippine laws.

5.2 Prohibited Use

You must not:

  • Use the Platform for any unlawful, fraudulent, or deceptive purpose.
  • Share your account credentials with persons not employed by or associated with your business.
  • Attempt to reverse-engineer, copy, modify, or create derivative works of the Platform.
  • Use automated scripts, bots, or scrapers to access or extract data from the Platform.
  • Interfere with or disrupt the Platform's servers, networks, or security features.
  • Impersonate another person or business entity.
  • Use the Platform to process transactions for businesses other than the one registered in your account.
  • Resell or sublicense access to the Platform to any third party.

5.3 Data Accuracy

You are solely responsible for the accuracy of all data entered into the Platform. Cafe Buddy is not liable for business decisions made based on inaccurate data entered by the Subscriber.

Intellectual Property

6.1 Platform Ownership

All content, features, designs, code, trademarks, and intellectual property within Cafe Buddy are owned by or licensed to the Company. Nothing in these Terms transfers any intellectual property rights to you.

6.2 Your Data

You retain ownership of all business data you enter into the Platform (menu items, transaction records, staff information, etc.). By using the Platform, you grant Cafe Buddy a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Service to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Cafe Buddy without obligation to compensate you.

Data Privacy

Your use of Cafe Buddy is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, storage, and processing of your personal and business data as described in the Privacy Policy.

Cafe Buddy complies with the Data Privacy Act of 2012 (Republic Act No. 10173) of the Philippines and its Implementing Rules and Regulations. Your data is processed only for the purposes necessary to provide the Service.

Account Suspension and Termination

8.1 By the Subscriber

You may cancel your subscription at any time by emailing support@cafebuddy.ph. Cancellations take effect at the end of the current billing period. No refunds are issued for the remaining unused days.

8.2 By Cafe Buddy

We reserve the right to suspend or terminate your account, with or without prior notice, for any of the following reasons:

  • Non-payment of subscription fees after the due date.
  • Violation of any provision of these Terms.
  • Submission of false or misleading information during registration or continued use.
  • Any activity determined to be harmful to the Platform, its users, or the Company.
  • Court order or directive from a Philippine government authority.

8.3 Effect of Termination

Upon termination, your access to the Platform will be revoked. You may request an export of your data within 30 days of termination. After 30 days, your data may be permanently deleted.

Disclaimers and Limitation of Liability

9.1 "As-Is" Basis

Cafe Buddy is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted service.

9.2 No Guarantee of Uptime

We do not guarantee 100% uptime or uninterrupted access to the Platform. Scheduled or emergency maintenance may result in temporary unavailability. We will make reasonable efforts to provide advance notice of planned downtime.

9.3 Limitation of Liability

To the maximum extent permitted by applicable Philippine law, Cafe Buddy and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.

In no event shall our total liability to you exceed the total subscription fees you paid in the 3 months immediately preceding the event giving rise to the claim.

9.4 Business Decisions

Cafe Buddy provides tools for recording and managing cafe operations. We are not responsible for business outcomes, financial losses, or decisions made based on data, reports, or analytics generated by the Platform.

Indemnification

You agree to defend, indemnify, and hold harmless Cafe Buddy and its officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform in violation of these Terms.
  • Your violation of any third-party rights or applicable law.
  • Any false or inaccurate information you provided during registration or use.

Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

11.2 Jurisdiction

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the appropriate courts of the Republic of the Philippines.

11.3 Amicable Settlement

Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve disputes through direct negotiation for at least 30 calendar days from the date the dispute is raised in writing.

Amendments to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on the Platform.
  • Notify registered Subscribers via email to their registered address.
  • Clearly indicate the "Last Updated" date at the top of the document.

Continued use of the Platform after the effective date of the updated Terms constitutes your acceptance. If you do not agree, you must stop using the Platform and cancel your subscription.

Force Majeure

Cafe Buddy shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, power outages, internet service disruptions, government orders, pandemics, or civil unrest.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Cafe Buddy regarding the use of the Platform and supersede all prior agreements, understandings, or representations.

This document is written in English as required for clarity. In the event of any conflict between an English version and a Filipino translation, the English version shall prevail.

Introduction and Commitment to Privacy

Cafe Buddy ("we," "us," "our," "the Company") is committed to protecting the privacy and security of your personal information. This Privacy Policy explains how we collect, use, store, share, and protect your personal data when you use the Cafe Buddy Cafe Management System ("the Platform," "the Service").

This Privacy Policy is written in compliance with the Data Privacy Act of 2012 (Republic Act No. 10173), its Implementing Rules and Regulations, and the issuances of the National Privacy Commission (NPC) of the Philippines.

By creating an account or using the Platform, you acknowledge that you have read and understood this Privacy Policy and consent to the collection and processing of your personal data as described herein.

Who We Are (Data Controller)

Cafe Buddy acts as the Personal Information Controller (PIC) with respect to personal data collected directly from you during registration and use of the Platform.

When you use Cafe Buddy to record transactions and manage your business, you act as the Personal Information Controller of your customers' and employees' data entered into the system. Cafe Buddy acts as the Personal Information Processor (PIP) on your behalf for such data.

Personal Data We Collect

3.1 Account Registration Data

  • Full name (first name, last name)
  • Username and password (stored in encrypted form)
  • Email address and mobile number
  • Date of birth / Birthday
  • Business name, address, and social media or website links

3.2 Business Operation Data

  • Staff names, usernames, roles, and PINs
  • Menu items, prices, and ingredient information
  • Transaction records (order numbers, items, amounts, payment methods, reference numbers)
  • Cash drawer movements and balances
  • Stock quantities, costs, and waste logs
  • Audit log entries (login/logout timestamps and user activity)

3.3 Billing Data

  • Invoice records (amount, billing date, due date, status)
  • Payment reference numbers submitted as proof of payment
  • Date of payment confirmation

3.4 Technical and Usage Data

  • Browser type and device information
  • IP address and general location (country/region)
  • Pages visited and features used within the Platform
  • Login timestamps and session duration

How We Collect Your Data

We collect personal data through the following means:

  • Directly from you — when you register, fill in forms, update your profile, or contact support.
  • Automatically — when you use the Platform, through cookies, server logs, and similar technologies.
  • From your staff — when staff members log in and use the Platform under accounts created by you.

How We Use Your Data

Specifically, your data is used to:

  • Verify your identity and authenticate you on every login.
  • Review and approve or reject your account registration.
  • Generate and send monthly subscription invoices.
  • Process payment confirmations and update billing status.
  • Send OTP codes for two-factor authentication and password resets.
  • Notify you of account status changes (approval, suspension, reactivation).
  • Display your business name and address on printed receipts.
  • Enable staff accounts and enforce module access controls.
  • Maintain the security and integrity of the Platform.
  • Respond to your inquiries, complaints, and support requests.
  • Fulfill obligations required by Philippine law.

Data Sharing and Disclosure
Cafe Buddy does not sell, rent, or trade your personal data to any third party for commercial purposes.

We may share your data only in the following limited circumstances:

7.1 Service Providers

Trusted third-party service providers who assist in operating the Platform (e.g., cloud hosting, email delivery services). These providers are contractually bound to process your data only as instructed by us and in compliance with RA 10173.

7.2 Legal Compliance

If required by a valid Philippine court order, subpoena, or directive from a government authority such as the National Privacy Commission, Bureau of Internal Revenue, or law enforcement agencies.

7.3 Business Transfer

In the event of a merger, acquisition, or sale of all or part of the Company, your data may be transferred to the acquiring entity subject to the same privacy protections. You will be notified of any such transfer.

7.4 With Your Consent

We may share your data in any other way described to you at the time of collection with your explicit consent.

We retain your personal data for as long as your account is active and as necessary to fulfill the purposes described in this Policy.

Upon account deletion or expiration of the retention period, your data will be securely deleted or anonymized so that it can no longer be linked to you.

Data Security

We implement appropriate technical and organizational measures to protect your personal data:

  • Encrypted passwords — passwords are hashed and never stored in plain text.
  • OTP-based authentication — all logins require a one-time code in addition to a password.
  • Secure access controls — staff accounts have module-level access restrictions.
  • Audit logging — all login and logout events are recorded with timestamps.
  • Access restrictions — only authorized Cafe Buddy personnel can access subscriber data.
  • Regular security reviews — we regularly assess our security practices.
In the event of a personal data breach likely to result in harm to you, we will notify you and the National Privacy Commission within 72 hours of discovery, as required by RA 10173.

Cookies and Tracking Technologies

Cafe Buddy may use cookies and similar technologies to:

  • Maintain your login session.
  • Remember your preferences within the Platform.
  • Collect anonymous usage analytics to improve the Service.

You may control cookie settings through your browser. Disabling certain cookies may affect Platform functionality, including keeping you logged in.

We do not use third-party advertising cookies or tracking pixels.

Children's Privacy

Cafe Buddy is intended for use by adults who are 18 years of age or older. We do not knowingly collect personal data from individuals under 18. If we discover that we have inadvertently collected data from a minor, we will delete it immediately.

If you believe a minor has submitted data to our Platform, please contact us at support@cafebuddy.ph.

Cross-Border Data Transfers

Cafe Buddy's primary operations are based in the Philippines. If we use cloud hosting or service providers located outside the Philippines, any transfer of your personal data to a foreign country will be done in compliance with RA 10173 and only to countries or entities that provide an adequate level of protection, or with appropriate safeguards in place such as data processing agreements.

Third-Party Links

The Platform may contain links to third-party websites such as social media platforms you list in your business profile. This Privacy Policy does not apply to those external sites. We encourage you to review the privacy policies of any third-party site you visit.

Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our data practices, legal requirements, or Platform features. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this Policy.
  • Notify registered users via email to their registered address.
  • Post a notice within the Platform.

Continued use of the Platform after the updated Policy takes effect constitutes your acceptance. If you do not agree, you may terminate your subscription and request deletion of your data.
